Mining PRs and the Ottotrans™, Part 38


Today's example of junior mining speak translated into something we can understand comes from Redhill Resources (RHR.v), the scumbag company that used to be the scumbag company called ATW Gold and is still run by the same scumbags.

This is what they wrote:

On its website, investor relations material, corporate presentation, news releases, and MD&A, the Company fails to identify and disclose the relationship to the Company of the qualified person who approved, prepared or supervised the preparation of the technical information it is disclosing, contrary to section 3.1.
On the company's website, redhill-resources.com under the Guellewa project, the Company's NI 43-101 was incompletely reported as:
"Redhill purchased the Gullewa Gold Mine in 2008, and completed a NI 43-101 Technical Report on the project for a Measured and Indicated Resource centered at the main open pit area at Deflector of 1.7 million tonnes at 6.74 g/t gold equivalent for 369,000 ounces, and an Inferred Resource of 1.6 million tonnes at 7.71 g/t gold equivalent for 400,000 ounces. Other areas have an Inferred Resource of 72,700 ounces of gold."
This is non compliant to section 2.2(d) and 3.4(b), which states that the grade of each contained metal used to obtain the gold equivalent is to be included in the mineral resource reported.
The company website and future presentations will now indicate the following:

Also reported in 2008 are Inferred Resource of 1.6 million tonnes at 6.50 g/t gold, 3.41 g/t silver and 0.48 percent copper with a gold equivalent grade of 7.71 g/t gold equivalent.
The following resource estimation was filed on June 13, 2008 in a report titled; "Technical Report Gullewa Gold-Copper Project, Yalgoo Mineral Field, South Murchison District, Western Australia", by Stephen J. Godden, and was an independent Qualified Person as defined under NI 43-101. The resource estimation section, dated August 2006, was prepared by J. Graindorge, who at the time was the Senior Resource Geologist for Snowden Resources, and was an independent Qualified Person as defined under NI 43-101. The resources were prepared according to JORC 2004, and as such they may be reasonably be construed to be NI 43-101 compliant, as defined by CIMM 2005 (i.e the codes that applied at the time the Mineral Resources were compiled).
As such any resource numbers that Redhill has quoted in the above table cannot be relied on as they were not prepared for Redhill and therefore are not considered 43-101 compliant.
In March 2011, the Company prepared an investor presentation titled "Corporate Presentation", which was also posted on the company's website. The presentation and the company's website, news release, and management discussion and analysis contained the following information on page 7, Gullewa Gold Mine-Western Australia:
"The project area contains substantial existing resources of 650,000 oz gold (Au) and 25,000 tonnes of copper (Cu) 43-101".
This is non compliant to section 2.2(b) which requires each category of mineral resource and reserve to be stated separately and section 2.2(c) which does not allow inferred mineral resources to be added to other categories of mineral resources.
Future presentations will now indicate the following:

The Company's Management Discussion and Analysis ("MD & A"), the most recent being January 31, 2011 for the third quarter ended November 30, 2010, does indicate the above correct 2006 Mineral Resource Estimate, however Table 2-Other Mineral Resources, Gullewa Project Area has been retracted.
The Company's Press Release dated, November 9, 2010, titled "Gullewa Drill Program Complete" indicated the above 2006 Mineral Resource Estimate, but incorrectly combined Measured and Indicated Resources, with Inferred Category, which is non-compliant with 43-101, section 2.2 (c), and should not be referred to.
The Company's Press Releases dated January 18, 2011, titled "Deflector Deposit Resource Upgrade and Recommencement of Drilling at Defector", and February 2, 2011, titled "Extension Drilling Underway at Gullewa", refer to Measured, Indicated and Inferred Resources announced by the Company's partner, Mutiny Gold Ltd. While these resources are believed to be compliant with JOREC, the Company has not completed a review of the data or resources with respect to compliance with 43-101, and should not be relied upon.
Content of the presentation, MD &A and the website failed to clearly indicate that the disclosure was approved by a qualified person as defined by NI 43-101. Going forward, all website content and materials distributed to the public will be under the supervision of Brent Butler, B.Sc. In Geology; Member SEG, AusIMM whom is the Company's Qualified Person as defined under NI 43-101.
The Company retracts the prior investor presentation, and will provide an updated and revised new presentation, to replace the prior presentation, which will be available on the company's website.
In addition to the removal of the retracted language, the following updated cautionary language, among others, has been added to the home page of the company's website.
Cautionary note regarding mineral resources and mineral reserves:
Readers should refer to the Company's current technical reports and other continuous disclosure documents filed by the company available on SEDAR for further information the mineral resource estimates of the company's projects, which are subject to the qualifications and notes set forth therein, as well as for additional information relating to the company more generally. Redhill Resources (RHR.v) Scum changes name, still scum

To paraphrase Juliet Capulet (Act 2 Sc 2), "What's in a name? That which we call a scumbag ripoff scam-laden heap of fetid turds by any other name would smell as putrid." Yesterday the front-running rip-off merchants at ATW Gold (ATW.v) that screwed over their shareholders in one of the worst cases of illegal frontrunning sales seen for a while (and the most bare-faced in 2009, that's for sure), decided that they don't want to be weighed down with the name ATW Gold any more and so they changed it. Here's the NR, here's an excerpt:

VANCOUVER, BRITISH COLUMBIA--(Marketwire - Jan. 13, 2011) - ATW Gold Corp., (TSX VENTURE:ATW - News; "ATW" or the "Company"), is pleased to announce that effective January 14, 2011 the Company's new name will be Redhill Resources Corp.
Effective at the opening Jan. 14, 2011, the common shares of Redhill Resources Corp. will commence trading on the TSX Venture Exchange and the common shares of ATW Gold Corp. will be delisted.
The Company will trade under the new symbol RHR: TSX-V.

So this post exists as a warning to anyone in the future that's even thinking of considering in buying a few shares in Redhill Resources (RHR.v). So far you've managed to put the name into Google and that's a good start. What you now need to do is click right here and read how these scumballs treat their shareholders. You'd also be interested in the amount of cheap share options they've recently been awarding themselves too, I'd reckon.

Andrew Bowering, Graham Harris and all the rest of this unsavoury mob at ATW Gold (now Redhill Resources) are the dregs not only of the Canadian market but its whole society. Avoid this scum like the veritable plague.

Pity the poor bastards that get suckered by these criminals this time around

Watch out greenhorns, ATW Gold (ATW.v) is being resurrected by the outright scumbags Graham Harris, Brent Butler and Andrew Bowering, authors of one of the most disgusting episodes of blatant frontrunning insider stock sales in recent memory. The whole sordid story is documented on this link (scroll down for several posts) so I'm not going to go into it too much here (kinda makes me queasy just thinking about what those poor excuses for human beings got away with), because here we're noting that ATW.v is looking to try and work its scumball magic on a new set of suckers.

First up, let's note the sweetheart options deal just handed out to insiders and the way scumbag supreme Graham Harris (ex-Canaccord, what a shocker) has been loading up on cheap stock (from part of the dirty cash he made off with via his deplorable frontrunning insider sales last year, no doubt):

And second, here's this week's NR from ATW.v that, magically, sees the company trying its luck in the latest hot sector for mining, rare earths. Seems like ATW.v has picked up some sort of REE property and will try to reinvent itself in a sector already replete with shysters and overpumped dogs.

The Property is in close proximity to Great Western Minerals Group's (GWMG) Deep Sands REE project.

These people should be in prison and would be in any other country than Canada, home to the world's most toothless regulators. Brien Lundin forgets to mention ATW Gold (ATW.v)


In this week's interview over at The Gold Report we get the views of metalhead Brien Lundin on the market, gold, silver and the ways to play via several junior miners. However, in the puff-piece report Lundin somehow forgot to mention his previous hot pick ATW Gold (ATW.v). Strangely, he's been very quiet on the stock for about five months. Ever since the scam was revealed and the frontrunning insider sales noted by the world, Lundin seems to want to forget all about his previous über-bullish calls on the stock that include (courtesy blog ATWGold):

  • July, 2009 (ATW.v $0.72): ATW Gold Corp. (TSX.V:ATW) Lundin says it is one recommended from the outset. It has entered gold production now and he doesn’t think that its value in the market is recognized yet.
  • August, 2009 (ATW.v $0.59): Buy ATW Gold Corp. The newsletter editor tells his readers that ATW remains a stong, up-and-coming gold producer that “stands to benefit greatly from the gold bull market still to come.”
  • September, 2009 (ATW.v $0.56): Refresh buy of ATW Gold Corp. Lundin says the company is a growing gold producer and it remains a buy.

For the record, that last call was just a few days before ATW revealed it wasn't a growing gold producer, but in fact a rapidly shrinking gold non-producer. Those three calls also came at the same time as the rounds of heavy illegal, frontrunning insider stock sales made by ATW.v directors Harris, Norman and Bowering that weren't revealed to the market until well after the fact.

As it happens, I'm quite certain that Lundin wasn't in on the scam and wasn't trying to rip anybody off. He was just stupid. So the question you need to ask is whether you trust the present and future stock picks of a guy that's so easily fooled by a junior promo scam and patently dishonest management. Another question to ask is whether Lundin is better served by his attempts to ignore a bad call until people stop bugging him about it. Y'know, it kinda occurs to me that maybe perhaps maybe it'd be better for him to be a man, stand up, say "I got it wrong" and apologize. Nobody's perfect, so why fake it Brien?

ATW Gold (ATW.v): Harris flushes the toilet


On November 25th, Graham Harris, Chairman and conman of ATW Gold (ATW.v) said this about the so-called "strategic review" going on at his trainwrecked company that was put in the hands of Haywood Securities and designed to get as much value out of its remaining assets as possible:
"We are pleased to have Haywood Securities act as financial advisor during the strategic review of our Australian assets. Haywood's in-depth understanding of the global gold mining industry along with their extensive industry contacts will ensure maximum shareholder value is realized."

Thus today's insider filings can only be assumed as the scumball Harris's idea of gaining 'maximum shareholder value' for his own greedy screw-you-all self.

At first he sells some 70,000 shares in small lots at end 2008...pretty normal. But then check out the trades highlighted in red. Starting late June (when the news of the company-killing problems at their Aussie mine must have started filtering through to board level) Bowering starts disposing stock bigtime. Between June and August 2009, and just before the date when ATW.v went public with its enormous production problems and killed that immediately stock price, Bowering got rid of 725,000 shares. Also, note those lines marked "disposition by gift", WTF is all that about? A gift to whom? Right in the middle of heavy inside selling, a capitalist pig trying to bail as much as he can out of a company suddenly goes all philanthropic on us and gives shares away? Jeeesh dude, you must think we were born yesterday! Mr. Bowering, would you care to voluntarily disclose exactly who was the beneficiary of this largesse?

What's even more impressive is that bar two 20,000 share trades, every single transaction was late filed by Bowering. In fact, those two small but correctly filed trades speak their own volumes, as it shows Bowering was perfectly aware of the rules and what he should have done with his filings. But no, he simply chose to ignore the rules and do what the hell he wanted on the vast bulk of the selling, else draw attention to his massive share disposal that might put the stock under pressure.

Exactly the same tactics used by the other scumball insider sellers at ATW.v, Luke Norman and Graham Harris. Illegal, frontrunning sales made due to knowledge of the imminent death of the company and trades that were not disclosed to the public until after the fact. And surprise surprise, a quick look at Andrew Bowering's inside filings connects him to the company "Tribune" that's also knee-deep with the scamsters Norman and Harris as explained on Sunday.

With crud like these people at managerial level retail investors have no chance of making winning trades. Where is the OSC and why isn't it crawling all over on these scandalous operators?

ATW Gold (ATW.v): Thick as thieves

One is a frontrunning scumbag, and the other is a frontrunning scumbag.

In the post on Friday entitled "Graham Harris: Another day another Canadian rip-off" we noted how Harris, chairman at ATW Gold (ATW.v), decided to frontrun the company-breaking news released on September 18th by selling stock before the news was dissminated to the public and then ignoring rules about disclosure of insider trading by not filing the report until a full five months after the fact.

We then went on to warn people that Harris was the head honcho at Tribune Resources (TNR.f), but that part had a couple of mistakes in it. Firstly, the company has changed its name (gotta cover them tracks, boyz) and is now called 'Tribune Minerals'. But the second mistake turns out to have uncovered a doozy, as A. Reader sent in the latest MD&A of Tribune and pointed out who the new CEO is. Here's the line from the MD&A:
On September 24th, 2009 Luke Norman joined the board of Directors, and was appointed President and CEO.
Yes indeedy folks! Luke Norman, the other frontrunning scumbag from ATW Gold that sold his shares when he knew about the disaster about to hit, didn't tell anyone and then promptly resigned from the company, has taken over the helm at Tribune. Talk about thick as thieves! So let's check over the common points between Graham Harris and Luke Norman:

They both worked at Canaccord.

They both resigned to take up the junior mining game.

They both worked at ATW Gold.

They both reacted to the news of impending disaster like rats, selling their stock before any public disclosure and not disclosing their insider trades until well after the fact.

They now work together to promote their new gig, Tribune.

They are both utter assholes and belong in jail.

The Harris guy has managed to dump nearly 600,000 shares on the market in the last five months and pocketed gross proceeds of $154,395, most of them a mile outside the normal disclosure period for insider transactions. But especially noteworthy are those first two sales (which aren't on the cad insider page, cos they only carry the last 10 transactions; to see the first two you need to go over to sedi dot ca) made on Sept 11th 2009, one week BEFORE his company released the news on its trainwreck mine in Australia that dumped the stock forever and ever amen.

Total impunity once again. The Chairman of the company, who knew the crap that was about to go down, dumps his stock before shareholders find out what's going on and can't be bothered to tell anyone for five months. For this the OSC will slap his wrist with the normal $1,000 fine (which he'll be able to pay in cash straight from his wallet when the time comes).

So let's check Harris's credentials: Oh looky! He's an ex-VP at the can of corn! What a surprise, the same house of education as like the other guy who jumped the ATW.v ship before anyone else got to hear the bad news, Luke Norman.

Meanwhile, let's check in on what arch-bullshit pumper Peter Grandich said about Graham Harris in February 2009:
"I’ve known Graham Harris, one of ATW’s Directors, for almost 20 years. He’s always been a straight shooter, particularly when he was in the financial arena, and finding a straight shooter in the financial arena is like finding a needle in a haystack. So I’ve always had confidence in his honesty."
Wow! Two assholes for the price of one!
